Item 8.01 Other Events

        On November 16, 2004, the Company issued a News Release announcing that Ronald J. Norick, Chairman of the Board, had been authorized to negotiate with one or more investment banking firms, in order to engage such firm to assist the Company in exploring certain potential strategic alternatives to maximize shareholder value, including the possibility of taking the Company private. A copy of this press release is attached hereto as Exhibit 99.1 and the information contained therein is incorporated herein by reference.
