On September 9, 2003, Price Legacy Corporation, a Maryland corporation (the “Company”), issued a press release announcing that Warburg, Pincus Equity Partners, L.P. and affiliated entities have entered into a purchase agreement with The Price Group LLC, a significant stockholder of the Company, to sell all Company securities held by Warburg Pincus.  A copy of the press release is attached hereto as Exhibit 99.1.
