On April 19, 2006, the Compensation Committee of the Board of Directors of SVB Financial Group (the “Company”) approved the payment of a $2,000 fee to each director attending the Company’s annual strategy meeting. Prior to this approval, directors were each paid a fee of $1,000 to attend the Company’s annual strategy meeting.
