Item 5. Interests of Named Experts and Counsel.
As of December 9, 2008, John C. Junek, Esq., Executive Vice President and General Counsel of the Registrant, who has rendered the opinion attached hereto as Exhibit 5.1, beneficially owned shares of the Registrants Common Stock having a fair market value of approximately $585,000.00, vested Stock Options with an exercise price in excess of the market value as of December 9, 2008, and phantom share units in the Companys Deferred Compensation Plan and Supplemental Retirement Plan having a value of approximately $203,000.00. In addition, Mr. Junek holds unvested options to purchase shares of the Registrants Common Stock granted under the Ameriprise Financial 2005 Incentive Compensation Plan which are not included in his beneficially owned shares.
Item 6. Indemnification of Directors and Officers.
Under Section 145 of the General Corporation Law of the State of Delaware (the GCL), a corporation may indemnify any person who was or is a party, or is threatened to be made a party, to any action, suit or proceeding, civil or criminal, by reason of the fact that he or she is or was a director or officer of such corporation if such person acted in good faith and in a manner he or she reasonably believed to be in and not opposed to the best interest of the corporation and, with respect to a criminal action or proceeding, such person had no reasonable cause to believe that his or her conduct was unlawful, except that, in the case of any action or suit by or in the right of the corporation, no indemnification is permitted if the person shall be adjudged liable to the corporation other than indemnification to the extent that a court shall determine such person is fairly and reasonably entitled to.
Article VI of the Registrants Amended and Restated Certificate of Incorporation provides, in general, that no director of the Registrant shall be liable to the Registrant or its stockholders for monetary damages for breach of such directors fiduciary duty as a director, except to the extent that such exemption from liability or limitation thereof is not permitted under the GCL.
Article VI of the Registrants Amended and Restated Bylaws, provides, in general, for mandatory indemnification of directors and officers of the Registrant to the fullest extent permitted by the GCL. Notwithstanding the foregoing, in general, the Registrant shall not be obligated to indemnify a director or officer of the Registrant in respect of any proceeding instituted by such director or officer, unless such proceeding has been authorized by the board of directors of the Registrant.

The Registrant also maintains a directors and officers insurance policy which insures the officers and directors of the Registrant against any liability asserted against such person and incurred by such person or on such persons behalf in their respective capacities as officers and directors of the Registrant, or arising out of such persons status as an officer or director of the Registrant, whether or not the Registrant would have the power to indemnify any such officer or director against such liability under Article VI of the Registrants Amended and Restated Bylaws.
The Plan provides for indemnification of each member of the committee responsible for administering the Plan, and each of its designees to whom any duty of the committee may be delegated, against any and all claims, losses, damages, expenses or liabilities arising from any action or failure to act with respect to the Plan, except in the case of bad faith by the committee or any of its members or any such designee.
