(d) On December 17, 2014, the Board of Directors (the Board) of Newport Corporation (the Company) appointed Siddhartha C. Kadia, Ph.D. as a member of the Board, effective immediately. Dr. Kadia has not yet been appointed as a member of any committee of the Board; however, he is expected to be appointed to the Audit Committee. Dr. Kadia is an independent director as defined by Rule 5605(a)(2) of the Nasdaq Listing Rules.
For his service on the Board, Dr. Kadia will receive the regular cash compensation paid and equity compensation awarded by the Company to non-employee directors as described under the heading Director Compensation in the Companys Proxy Statement filed with the Securities and Exchange Commission on April 9, 2014 in connection with its 2014 Annual Meeting of Stockholders. In addition, the Company will enter into an Indemnification Agreement with Dr. Kadia, in substantially the form previously filed as Exhibit 10.3 to the Companys Quarterly Report on Form 10-Q for its fiscal quarter ended June 30, 2002, filed with the Securities and Exchange Commission on August 12, 2002.
A copy of the press release issued by the Company announcing the appointment of Dr. Kadia as a director is attached to this report as Exhibit 99.1.
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
(a) On December 17, 2014, the Board of Directors of the Company adopted a Certificate of Amendment to the Companys Amended and Restated Bylaws (the Amended and Restated Bylaws), which amends Section 2 of Article III of the Amended and Restated Bylaws to change the authorized number of directors of the Company from eight (8) directors to seven (7) directors.
