Item 8.01. Other Events.

 

On October 30, 2018, WestRock Company (“WestRock”) and KapStone Paper and Packaging Corporation (“KapStone”) issued a joint press release announcing the U.S. Department of Justice’s clearance of WestRock’s pending acquisition of KapStone through Whiskey Holdco, Inc. (“Holdco”) and the expected closing date of the pending acquisition of November 2, 2018, subject to customary closing conditions.  A copy of the press release is attached as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
