Other Events.

On October 1, 2008, Modine Manufacturing Company (the “Company”) issued a press release announcing the realignment of its North American regional organization structure, the reduction in the size of its managerial workforce in Racine, Wisconsin, which includes recent executive retirements, and the elimination of post-retirement medical benefits for Medicare-eligible participants.  Attached to this Current Report on Form 8-K as Exhibit 99.1 is a copy of the Company’s press release in connection with the announcement.
