(b) On May 4, 2007, Thomas Dearmin resigned as a director of the Registrant. Mr. Dearmin’s resignation was not due to any disagreement with the Registrant, known to an executive officer of the Registrant, on any matter relating to the Registrant’s operations, policies or procedures.
