Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On September 18, 2008, United States Commodity Funds LLC, the general partner of United States Oil Fund, LP (the “Registrant”), issued a press release announcing that the Registrant will transfer the listing of its limited partnership units that are currently listed on the American Stock Exchange (the “Amex”) to NYSE Arca, Inc. after the close of NYSE Euronext’s planned acquisition of the Amex.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
