Item 7.01

Other Events and Regulation FD Disclosure.

In May 2007 (and as subsequently amended), DirecTECH Holding Company (DTHC) and its subsidiaries (the DTHC Operating Entities) entered into a Loan and Security Agreement (“Loan”) with MB Financial Bank, N.A. (“MB Financial”.)

On December 17, 2008 MB Financial was paid in full from DTHC via a loan from the DTHC Operating Entities, one of which, Michigan Microtech, Inc., is currently owned 49% by DTHC and 51% by Multiband Corporation.
