Item 5.02.
Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
 
On July 13, 2009, the Compensation Committee of the Board of Directors of Applied Energetics, Inc. (the “Registrant”) awarded an option to purchase 250,000 shares of common stock of the Registrant to Kenneth M. Wallace, Chief Financial Officer of the Registrant.  The grant date is July 16, 2009, the option will be exercisable at a price per share of $0.40, the closing sale price of the Registrant’s common stock on July 16, 2009, will become exercisable as to 83,334 of the shares covered thereby on July 16, 2009, an additional 83,333 of the shares covered thereby on the second day following the date on which the Registrant files its Quarterly Report for the quarter ending June 30, 2010 and the remaining 83,333 of the shares covered thereby on the second day following the date on which the Registrant files its Quarterly Report for the quarter ending June 30, 2011, and expire on July 16, 2014.
