PART III - NARRATIVE

 

State below in reasonable detail the reasons why Form 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof could not be filed within the prescribed period.

 

Registrant was unable to file its Report on Form 10-Q for the calendar quarter ended September 30, 2013 on or before the required due date, because it was unable prepare the financial statements required in that Report without unreasonable effort or expense. Specifically, on August 5, 2012, Registrant sold shares of its common stock and warrants in a public offering along with the conversions of debt for common shares and warrants at the same time. Determination of the accounting treatment for that transaction, which had a material effect on Registrant’s financial statements for the calendar quarter ended September 30, 2013, delayed the completion of Registrant’s financial statements for that Quarter. Those financial statements could not have been prepared in order to file Registrant’s Report on Form 10-Q for the calendar quarter ended September 30, 2013 on or before the required due date without unreasonable effort or expense.
