Item 2.02     Results of Operations and Financial Condition.

In the last sentence of the third paragraph of Keithley Instruments, Inc.’s April 29, 2009 press release, “Keithley Instruments Reports Results for Fiscal 2009 Second Quarter,” the Company’s quarterly period referenced with respect to its recorded GAAP operating loss of $10.1 million should have been the second quarter of fiscal 2009 not the first quarter of fiscal 2009.   The complete, corrected release is attached as Exhibit 99.
