Item 8.01 Other Events.

As previously announced, on February 4, 2016, the Board of Directors of FleetCor Technologies, Inc. (the “Company”) approved a stock repurchase program (the "Program") under which the Company may purchase up to an aggregate of $500 million of its common stock over the following 18 month period. At recent price levels, the Company believes that repurchasing its common stock is an attractive use of capital. Accordingly, the Company repurchased 1,000,000 shares of its common stock in the first two weeks of December.  As of December 16, 2016, the Company has repurchased 1,259,145 shares of its common stock for an aggregate of $187.7 million under the Program, leaving an additional $312.3 million available for further repurchases under the Program.

The timing, manner, price and amount of any future repurchases will be determined by the Company in its discretion and will be subject to economic and market conditions, stock price, applicable legal requirements and other factors. There is no guarantee as to the number of shares that will be repurchased in the future, and the Program may be extended, suspended, or discontinued at any time without notice at FleetCor’s discretion.
