Upon the filing and effectiveness of this Registration Statement on Form S-8, the total number of shares of common stock registered pursuant to the Amended and Restated Isle of Capri Casinos, Inc. 2000 Long-Term Stock Incentive Plan will be 2,500,000, plus any shares of common stock remaining for issuance under the Registrants prior long-term incentive plans. This Registration Statement also relates to an indeterminate number of shares of common stock that may be issued upon stock, splits, stock dividends or similar transactions in accordance with Rule 416 of the General Rules and Regulations under the Securities Act of 1933, as amended. |

Such estimate has been computed in accordance with Rule 457(c) and Rule 457(h)(1) of the General Rules and Regulations under the Securities Act of 1933, as amended, based on the average of the high and low sale prices on the Nasdaq National Market on December 18, 2003 for the Registrants common stock. |
