The following information is being furnished pursuant to Item 5.
On March 31, 2004, Quadramed Corporation issued a press release announcing that John Wright was named as Chief Financial Officer. QuadraMed also announced that Charles J. Stahl, the Company’s Chief Financial Officer since March of 2003, will become a consultant to the Company. A copy of the press release is furnished as exhibit 99.1 to this report.
