Item 1.01 Entry into a Material Definitive Agreement.

Digital Realty Trust, L.P., a Maryland limited partnership of which we are the sole general partner, Citicorp North America, Inc., as administrative agent, the lender parties, as defined in the amendment, Merrill Lynch, Pierce, Fenner & Smith Incorporated, as syndication agent, Bank of America, N.A., KeyBank National Association and Royal Bank of Canada, as co-documentation agents, and Citigroup Global Markets Inc. and Merrill Lynch, as the arrangers, entered into an amendment, effective as of December 21, 2006, to Digital Realty Trust, L.P.’s existing $500.0 million unsecured revolving credit facility to amend certain of the financial covenant definitions, to permit inclusion of Redevelopment Assets (as defined in the amendment) in the borrowing base, to amend certain of the provisions regarding advances and letters of credit (including to provide a multicurrency letter of credit subfacility) and certain of the covenants and, upon satisfaction of certain subsequent conditions, to permit Digital Realty Trust, L.P., to increase the aggregate commitments to a maximum of $750.0 million. A copy of the amendment is filed hereto as Exhibit 10.1 and is incorporated herein by reference.
