ITEM 8.01 Other Events.

On November 1, 2007, Natus Medical Incorporated (the “Company”) is issuing a press release and holding a conference call regarding its financial results for the third quarter of fiscal 2007 ended September 30, 2007 and other financial information. The press release discloses that the Company has received a warning letter from the FDA related to the Company’s Olympic Medical manufacturing facility in Seattle, Washington. A copy of the FDA warning letter is furnished as Exhibit 99.1 to this Form 8-K.
