Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 5, 2011, Stephen K. Schutte notified DCT Industrial Trust Inc. (the “Company”) (NYSE: DCT) that, effective as of January 31, 2011, he was resigning as Senior Vice President and General Counsel of the Company to accept an offer to be the general counsel of an Asian real estate company based in Singapore. The Company thanked Mr. Schutte for his dedicated service and valuable contributions to the Company during his tenure, and wished him well in his future endeavors.
