Item 2.02. | Results of Operations and Financial Condition |
On January 3, 2013, Crown Holdings, Inc. (the Company) filed a current report on Form 8-K reflecting changes issued by the FASB to the presentation of comprehensive income. These changes give companies the option to present the total of comprehensive income, the components of net income, and the components of other comprehensive income either in a single continuous statement of comprehensive income or in two separate but consecutive statements. The changes eliminated the option to present the components of other comprehensive income as part of the statement of changes in stockholders equity. The items that must be reported in other comprehensive income or when an item of other comprehensive income must be reclassified to net income were not changed. Additionally, no changes were made to the calculation and presentation of earnings per share. Other than changes to presentation, these changes had no impact on the Companys consolidated financial statements. The financial statements included in this report are presented in accordance with these changes and all prior period information has been reclassified. This information is attached hereto as Exhibit 99.1 and hereby incorporated by reference.

The Company intends to offer $500 million in aggregate principal amount of senior notes due 2023 (the New Notes). The New Notes will be issued by Crown Americas LLC and Crown Americas Capital Corp. IV, each of which is a subsidiary of the Company, and will be unconditionally guaranteed by the Company and certain of its subsidiaries.
The Company intends to use the net proceeds of the offering to redeem the Companys outstanding $400 million senior notes due 2017 (the 2017 Notes) and to pay premiums associated therewith, for general corporate purposes, including the temporary repayment of amounts outstanding under the Companys senior secured revolving credit facilities, and for payment of related fees and expenses.
The New Notes will be issued through a private placement and resold by initial purchasers to qualified institutional buyers under Rule 144A of the Securities Act of 1933, as amended, and Regulation S. The New Notes will not be registered under the Securities Act and cannot be offered or sold in the United States absent registration or an applicable exemption from the registration requirements. This does not constitute an offer to sell or the solicitation of an offer to buy any security in any jurisdiction in which such offer or sale would be unlawful.
