Item 8.01 Other Events.
On May 2, 2014, News Corporation (the “Company”) announced it had agreed to acquire Harlequin Enterprises Limited, one of the world’s leading publishers of women’s fiction, from Torstar Corporation. The acquisition, which is subject to regulatory approvals, Torstar shareholder approval and other customary closing conditions, is expected to be completed by the end of the third quarter of calendar year 2014. A copy of the Company’s press release is attached as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.
