Item 8.01 Other Events

On November 10, 2014, PowerSecure International, Inc., a Delaware corporation (the “Company”), issued a press release announcing it has strengthened and realigned its leadership team. As part of this leadership initiative, Christopher T. Hutter, the Company’s Executive Vice President and Chief Financial Officer, will remain with the Company and transition to the newly created role of Chief Operating Officer of the Company. As previously announced, Eric Dupont is serving as the Company’s Executive Vice President of Finance and Administration of the Company. The Company has established other functional business leaders, and also established and solidified business unit operating leader roles for each of its major business units. All of these management appointments, except for the appointments of Messrs. Hutter and Dupont, are appointments by PowerSecure, Inc., the operating subsidiary of the Company. Messrs. Hutter and Dupont have been appointed by the Board of Directors of the Company.
