Preliminary Milestones Reached in DowDuPont Transaction

By now you have probably seen the communication for the site structure of the intended agriculture company following the planned separation of DowDuPont into three independent, publicly traded companies. In this announcement, we also confirmed that the intended Material Science company, to be named Dow, will remain headquartered in Midland, Michigan, and maintain global business centers in other U.S. and global locations.

This week marked another important milestone with the submission of the S-4 filing for the DowDuPont transaction. The Form S-4 is required by the Securities and Exchange Commission (SEC) to disclose important information to shareholders related to mergers, acquisitions or exchange offers. We encourage you to review the slides that the Dow and DuPont Investor Relations teams have prepared to learn more about the very real value this powerful combination will deliver through three new companies.

The planned transaction remains on track for closing in the second half of 2016, subject to satisfying the necessary closing conditions and required regulatory approvals. Both Dow and DuPont have dedicated teams that are partnering together to plan for the three intended business portfolios and ensure synergy capture.
