Item 1.01. Entry into a Material Definitive Agreement.

As part of its compensation program, Merck & Co., Inc. grants various awards to its employees and executive officers under the Merck & Co., Inc. 2004 Incentive Stock Plan (the "Plan"). The stockholder-approved Plan is on file with the Securities and Exchange Commission. Forms of award grant agreements for stock options, restricted stock units for an annual grant and restricted stock units for a Leader Shares grant, are attached hereto as Exhibit Numbers 10.1, 10.2 and 10.3, respectively, and are incorporated herein by reference.
