(b) Resignation of Officer. Mr. David W. Anstice, Executive Vice President, Strategy Initiatives of Merck & Co., Inc. (the "Company") retired September 1, 2008 in accordance with the terms of his agreement with the Company that are described in the Company's Proxy Statement for the Annual Meeting of Stockholders held on April 22, 2008.
