Item 1.
Security and Issuer.
 
This Schedule 13D relates to the common stock, $0.001 par value (the “Shares”), of HPEV, Inc., a Nevada corporation (the “Company”). The principal executive offices of the Company are located at 27420 Breakers Drive, Wesley Chapel, FL 33544.
 
Item 2.
Identity and Background.
 
(a)  
The person filing this statement is Timothy J. Hassett (the “Reporting Person”)
 
(b)  
The Reporting Person’s business address is 5712 Marsh Hawk Drive, Santa Rosa CA, 95409.
 
(c)  
The Reporting Person’s principal occupation is business executive.
 
(d)  
During the last five years, the Reporting Person has not been convicted in any criminal proceeding (excluding traffic violations or similar misdemeanors, if any).
 
(e)  
During the last five years, the Reporting Person has not been a party to any civil proceeding of a  judicial or administrative body of competent jurisdiction as a result of which he was or is now subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

The Reporting Person is a citizen of the United States of America.
 
Item 3.
Source and Amount of Funds or Other Consideration.
 
On March 29, 2011, the Company (known at the time as Z3 Enterprises, Inc.) entered into a share exchange agreement to acquire HPEV, Inc., a Delaware corporation, which agreement was later amended on June 14, 2011. The Company acquired 100% of the shares of common and preferred stock in HPEV, Inc. in exchange for the issuance of 22,000,000 Shares. The Reporting Person, as one of the founders of HPEV, Inc., designated as a director of the Company and was issued his Shares as part of the acquisition.
 
The Company adopted its present name on April 5, 2012. On the same date, the board of directors (the “Board”) of the Company appointed the Reporting Person to serve as the Company’s Chief Executive Officer.

Item 4.
Purpose of Transaction.
 
The response to the Item 3 of this Schedule 13D is hereby incorporated by reference into this Item 4.
 
Subject to ongoing evaluation and his duties as an officer and director of the Company, except as set forth above, the Reporting Person has no current plans or proposals which relate to or would result in any of the following:
 
(a) 
The acquisition by any person of additional securities of the Company, or the disposition of securities of the Company;
   
(b) 
An extraordinary corporate transaction, such as a merger, reorganization, or liquidation, involving the Company or any of its subsidiaries;
   
(c) 
A sale or transfer of a material amount of assets of the Company or any of its subsidiaries;
   
(d) 
Any change in the present board of directors or management of the Company, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board;
   
(e) 
Any material change in the present capitalization or dividend policy of the Company;
   
(f) 
Any other material change in the Company's business or corporate structure, including but not limited to, if the Company is a registered closed-end investment company, any plans or proposals to make any changes in its investment  policy for which a vote is required by Section 13 of the  Investment Company Act of 1940;
   
(g) 
Changes in the Company's charter, bylaws, or instruments corresponding thereto or other actions which may impede the acquisition of control of the issuer by any person;
   
(h) 
Causing a class of securities of the Company to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association;
   
(i) 
A class of equity securities of the Company becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Securities Exchange Act of 1934, as amended; or
   
(j) 
Any action similar to any of those enumerated above.
 
Item 5.
Interest in Securities of the Issuer.
 
(a) 
Based upon the information contained in the Company’s First Amended Quarterly Report on Form 10-Q/A, filed with the SEC on January 16, 2013, 47,646,441 Shares were issued and outstanding as of that date. The Reporting Person is deemed to beneficially own 8,334,000 Shares, or approximately 17.49% of the Shares deemed outstanding as of that date.

The Reporting Person has sole power to vote and sole power to dispose of 8,334,000 Shares.
 
(c) 
During the 60 days on or prior to April 5, 2012, other than the transactions described in this Schedule 13D, there were no transactions in Shares, or securities convertible into, exercisable for or exchangeable for Shares, by the Reporting Person or any person or entity controlled by him or any person or entity for which he possesses voting or investment control over the securities thereof.
