On February 20, 2019, Mr. Jingbo (James) Song tendered his resignation as Executive Chairman of the Board of Directors and director of Professional Diversity Network, Inc. (the “Company”), effective immediately. Also on February 20, 2019, the Board of Directors resolved to accept Mr. Song’s resignation with immediate effect. Mr. Song’s resignation from the Board of Directors of the Company was for personal health reasons. Mr. Song served as a valued member of the Board since November, 2016, and his decision to resign was not due to any disagreement with the Company (as described in Item 5.02(a) of Form 8-K). The Company thanks Mr. Song for his years of service to the Company.
