Item 1.01 Entry Into a Material Definitive Agreement.

On June 8, 2016, Raymond James Financial, Inc. (the “Company”) entered into the First Amendment to Credit Agreement (the “First Amendment”) with respect to the unsecured Credit Agreement dated as of August 6, 2015 (the “Credit Agreement”) among the Company, the lenders party thereto and Bank of America, N.A., as administrative agent.

The First Amendment amends the Credit Agreement to, among other things, exclude from the calculation of “Consolidated Funded Indebtedness” Federal Home Loan Bank advances to Raymond James Bank National Association in an aggregate amount not to exceed 5% of “Consolidated Total Capitalization”.  Consolidated Funded Indebtedness is used in the calculation of certain financial ratios and covenants in the Credit Agreement.
