Other Events. |
This 8-K is being filed in connection with Seitel, Inc. entering into a Second Amendment to Third Standstill and Amendment Agreement dated as of April 10, 2003 with its Senior Noteholders. The Second Amendment to Third Standstill and Amendment Agreement amends the terms of Seitel's previously announced standstill agreement to require that the documents necessary for a restructuring of Seitel's Notes be completed by May 15, 2003. Previously, these documents were required to be completed by April 10, 2003.
The foregoing description of the Second Amendment to Third Standstill and Amendment Agreement does not purport to be complete and is qualified in its entirety by reference to the Amendment to Third Standstill and Amendment Agreement, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
A copy of the press release announcing the execution of the Second Amendment to Third Standstill and Amendment Agreement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
