On April 23, 2007, Overseas Shipholding Group, Inc. ("OSG") issued a press release announcing that on April 20, 2007 OSG completed the acquisition of the Heidmar lightering business from Heidmar Inc., a subsidiary of Morgan Stanley Capital Group Inc. Such press release is attached to this Report as Exhibit 99.1 and is hereby incorporated by reference.
