This Registration Statement on Form S-8 is being filed by the registrant to register an additional 175,000 shares of its common stock which are issuable upon the exercise of options available for grant under the Plan, pursuant to the Amendment. These 175,000 shares are in addition to the 75,000 shares of the registrants common stock which were previously registered pursuant to the registrants Registration Statement on Form S-8 (Commission File No. 333-66433) filed with the Securities and Exchange Commission (the SEC) on October 30, 1998 (the Prior Registration Statement). Pursuant to Instruction E of Form S-8, the contents of the Prior Registration Statement is hereby incorporated by reference.
