not be filed within the prescribed time period.

         The independent auditor's report on the financial statements of
         Sport-Haley, Inc. for the year ended June 30, 2001 has not been
         completed by the due date. See attached exhibit 1. In addition, the
         audit committee is not able to review and discuss with management the
         audited financial statements to be included in the Form 10-K prior to
         the due date.
