Item 5.02. Departure of Directors or Certain Officers;

On January 26, 2009, Kayla Gillan, who serves as the Chief Administrative Officer of RiskMetrics Group, Inc., announced her resignation to accept a position with the Federal government.  Her resignation is expected to be effective as of February 13, 2009.
