Item 7.01. Regulation FD Disclosure.
On February 14, 2005, American International Group, Inc. (AIG) issued a
press release in which AIG issued a statement regarding subpoenas received from
the Office of the Attorney General for the State of New York and the Securities
and Exchange Commission.
A copy of the above-referenced press release is attached as Exhibit 99.1
to this Form 8-K. The information furnished pursuant to this Item 7.01,
including Exhibit 99.1, shall not be deemed "filed" for purposes of Section 18
of the Securities Exchange Act of 1934, as amended (the Exchange Act), or
otherwise subject to the liabilities under such Section and shall not be deemed
