Item 1.01.   Entry into a Material Definitive Agreement.

On November 16, 2005, the Board of Directors of American International Group,
Inc. approved changes to the compensation package for non-employee directors
that will take effect as of January 1, 2006.  A summary of the non-employee
director compensation is filed herewith as Exhibit 10.1 and is incorporated
herein by reference.
