Item 8.01 Other Events.
On September 28, 2009, Toll Brothers, Inc. (the “Company”) issued a press release announcing
the preliminary results of a previously announced tender offer (the “offer”) by Toll Brothers
Finance Corp., Inc., the Company’s wholly-owned subsidiary, to purchase for cash up to $150 million
in aggregate principal amount of its 6.875% Senior Notes due 2012 and 5.95% Senior Notes due 2013
(collectively, the “Notes”) and an amendment to the terms of the offer. The amendment increases the
maximum aggregate principal amount of Notes subject to the offer from $150 million to $200 million.
All other terms of the offer remain unchanged. The press release is attached as Exhibit 99.1 to
this Current Report on Form 8-K and is incorporated herein by reference.
