Item 2.02 Results of Operations and Financial Condition

     On July 27, 2006, Complete Production Services, Inc. (the “Company”) issued a press release announcing its results of operations for the quarter and six months ended June 30, 2006. At 9:00 a.m. Central Time on July 28, 2006, the Company held a conference call in which Joseph C. Winkler, the Company’s President and Chief Executive Officer, and J. Michael Mayer, the Company’s Chief Financial Officer and Senior Vice President, made a presentation regarding the Company’s results of operations for the quarter and six months ended June 30, 2006. A copy of the transcript of the conference call is attached as Exhibit 99.1. A copy of the press release was previously furnished on a separate Current Report on Form 8–K, dated July 28, 2006.
