Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.

     On May 14, 2008, Héctor J. Vázquez resigned as a member of the Boards of Directors of Oriental Financial Group Inc. (the “Company”) and Oriental Bank and Trust (the “Bank”). There were no disagreements between the Company or the Bank and Mr. Vázquez leading to his decision to resign. Attached hereto is a copy of his letter of resignation.
