Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
(b) Effective May 9, 2008, Robert P. Bozzone and W. Craig McClelland retired from
the Board of Directors (the “Board”) of Allegheny Technologies Incorporated (the “Company”) in
accordance with the terms of the Company’s mandatory retirement policy for directors, which is set
forth in the Company’s Corporate Governance Guidelines. In connection with the retirements of
Messrs. Bozzone and McClelland, the size of the Board has been reduced to nine directors.
