On March 3, 2005, KPMG LLP ("KPMG") was dismissed as the independent registered public accountants ("auditors") of the BHP USA Retirement Savings Plan (the "Plan"). The dismissal of KPMG was approved by an authorized officer with respect to the Plan. The Plan does not have a separate board of directors. On March 3, 2005, an authorized officer with respect to the Plan engaged Kraft CPAs PLLC ("Kraft CPAs") as the auditors of the the Plan for the fiscal year ending December 31, 2004 to replace KPMG. The decision to dismiss KPMG and to retain Kraft CPAs was based primarily on cost considerations. KPMG's reports on the Plan's financial statements for the fiscal years ended December 31, 2002 and 2003 did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope, or accounting principles. During the Plan's two most recent fiscal years and through March 3, 2005, there were no disagreements with KPMG on any matters of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which, if not resolved to the satisfaction of KPMG, would have caused KPMG to make reference to the matter in its reports. During the two most recent fiscal years and through March 3, 2005, there have been no "reportable events" (as defined in Regulation S-K, Item 304(a)(1)(v)). The Plan has requested KPMG to furnish it with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the above statements.
