Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers, Compensatory Arrangements of Certain Officers.
 
On March 18, 2010, Stephen J. Kavulich, Vice President of its wholly-owned subsidiary, First National Community Bank (the “Bank”) notified the Registrant and the Bank of his resignation effective immediately.  Since January 1, 2010, Mr. Kavulich was reassigned to Vice President/Collections Division Manager and was not an Executive Officer since that date.
