ITEM 5.02.  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On June 16, 2005, the Board of Directors (the “Board”) of The New York Times Company (the “Company”) elected James M. Kilts as a member of the Board, to serve a term that will expire at the 2006 annual meeting of shareholders.

 

A copy of the Company’s press release dated June 16, 2005, announcing Mr. Kilts’s election to the Board, is attached as Exhibit 99.1 to this Form 8-K.  Exhibit 99.1 shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”), or otherwise subject to the liability of that section, nor shall it be deemed incorporated by reference in any registration statement or other document filed under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
