Item 8.01                                             Other Events

On December 18, 2006, Copart, Inc. issued the attached press release respecting a new outside equity investment in Lanelogic, Inc.  In connection with the transaction, LaneLogic, LLC was converted into a corporation, and Copart’s prior membership interest in LaneLogic, LLC was converted into shares of capital stock of the resulting corporation.  The press release is attached hereto as Exhibit 99.1.
