Item 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) At a meeting of the Company’s Board of Directors held on Thursday, July 26, 2007, Mr. Samuel D. Addoms announced his retirement from the Company’s Board of Directors. Mr. Addoms will continue to serve as a member of the Company’s Board of Directors through the remainder of his term, which expires at the Company’s annual meeting on September 6, 2007. As a result of his retirement, Mr. Addoms will not be a nominee for the Company’s Board of Directors to be submitted to shareholders for vote at the annual meeting.
