(b)           On October 2, 2009, Barry Rosenstein notified us that he will not be standing for re-election to the Board of Directors of Copart, Inc., a California corporation (the “Company”), at the annual meeting of shareholders of the Company to be held on December 3, 2009 (the “2009 Annual Meeting”), but will serve the remainder of his term which will expire on the date of the 2009 Annual Meeting.  To the knowledge of the executive officers of the Company, Mr. Rosenstein’s decision not to stand for re-election is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
