Explanatory Note
On August 12, 2010, Royal Gold, Inc., (the Company) filed a Current Report on Form 8-K (the Form 8-K) with the Securities and Exchange Commission (SEC) to report that on August 6, 2010, PricewaterhouseCoopers LLP (PwC) informed the Company that it would resign as the independent registered public accounting firm for the Company effective after PwCs completion of its audit of the Companys financial statements for the fiscal year ended June 30, 2010. This Current Report on Form 8-K/A (the Form 8-K/A) amends the Form 8-K to update the disclosures provided in the Form 8-K, and except as set forth herein, no other amendments to the Form 8-K are made by this Form 8-K/A.
Item 4.01 Change in Registrants Certifying Accountant
(a) The Company filed its Annual Report on Form 10-K for the fiscal year ended June 30, 2010 (the Annual Report) with the SEC on August 26, 2010. Effective upon such filing, PwC completed its audit of the Companys consolidated financial statements for the fiscal year ended June 30, 2010 and PwC resigned as the Companys independent registered public accounting firm.
During the Companys fiscal years ended June 30, 2009 and 2010 and through August 26, 2010, there were no disagreements (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K) with PwC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of PwC, would have caused PwC to make reference to the subject matter of such disagreements in connection with its reports on the financial statements for such periods.
PwCs reports on the Companys financial statements for the fiscal years ended June 30, 2009 and 2010 did not contain any adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles.
During the Companys fiscal years ended June 30, 2009 and 2010 and through August 26, 2010, there have been no reportable events (as defined in Item 304(a)(1)(v) of Regulation S-K), except that management identified a material weakness in the Companys internal control over financial reporting related to the accounting for royalty revenue recognition for the fiscal year ended June 30, 2008, which resulted in the Company restating its financial statements for the fiscal year ended June 30, 2008. The material weakness has since been remediated.
The Company provided PwC with a copy of the above disclosure and requested that PwC furnish the Company with a letter addressed to the Securities and Exchange Commission (the SEC) stating whether or not PwC agrees with the statements contained above. PwC has provided the Company with a letter addressed to the SEC stating whether or not it agrees with the above statements, a copy of which is filed as Exhibit 16.1 herewith.
(b) On August 26, 2010, effective upon the filing the Annual Report, the Company engaged Ernst & Young LLP as the Companys independent registered public accounting firm. The Company will request shareholder ratification of the appointment of Ernst & Young LLP as the Companys independent registered public accounting firm at its 2010 annual meeting of stockholders.
During the fiscal years ended June 30, 2009 and 2010 and through August 26, 2010, neither the Company nor anyone acting on behalf of the Company, consulted Ernst & Young LLP with respect to either (i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Companys consolidated financial statements, and no written report or oral advice was provided to the Company that Ernst & Young LLP concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing, or financial reporting issue or (ii) any matter that was the subject of either a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K) or reportable event (as defined in Item 304(a)(1)(v) of Regulation S-K).
