(b)           On February 16, 2016, Hani Zeini resigned as a member on the Board of Directors (the “Board”) of Sientra, Inc. (“Sientra”). Mr. Zeini’s resignation was not the result of any dispute or disagreement with Sientra or on any matter relating to its operations, policies or practices. On February 19, 2016, Sientra mailed a letter to surgeons regarding the resignation of Mr. Zeini from the Board. A copy of the letter is filed as Exhibit 99.1 and is incorporated herein by reference.
