The following is an excerpt from Clariants German works council internal newsletter:
HuntsmanClariant to be Ranked Second Following Merger
By the end of this year, the merger with Huntsman is expected to be completed. Citing expectations, Dr. Röper reports: the new firm HuntsmanClariant, with an annual turnover of 13.2 billion US dollars, will then climb to second position among the top specialty chemical firms worldwide. In pole position is Evonik. Clariant is currently eleventh in the ranking and Huntsman is fifth.
The global headquarters will be in Pratteln, Switzerland, while the operational headquarters will be based in The Woodlands, Texas. The enterprise value of the new company amounted to approximately 20 billion US dollars as of the date the merger agreement was signed.
Clariants CEO Hariolf Kottmann will be appointed as Chairman of the HuntsmanClariant Board of Directors and Huntsmans President and CEO Peter Huntsman will be appointed CEO of the new company and will be based in Pratteln after closing of the merger.
The new company aims to achieve annual cost synergies of 400 million US dollars within two years of the closing of the merger, attained through procurement synergies of 150 million US dollars and operational synergies of 250 million US dollars.
The Chairman of the Works Council Kai-Uwe Hemmerich personally thinks, that approximately 150 million dollars of these synergies should be attained through more beneficial purchasing contracts. The rest he feels should be obtained through the amalgamation of departments, as is common with mergers. He personally does not anticipate staff cuts in the industrial park. Well wait and see if anything happens. And when something happens, then well react, you can be sure about that, he says. According to Hemmerich Plastics & Coatings is a very important part of HuntsmanClariant, accounting for 20 percent of the annual turnover.
