(1) | On January 2, 2007, the Issuer entered into an agreement with E. Virginal Conway (the "Reporting Person") whereby the Reporting Person was granted a restricted stock award of 800 shares of Class A Common Stock pursuant to the Issuer's Amended and Restated Restricted Stock Award Plan (the "Restricted Stock Award Plan"). |
(2) | This figure includes 3,400 restricted shares of Class A Common Stock issued pursuant to the Restricted Stock Award Plan. On January 2, 2007, restrictions applicable to a previously reported grant of 300 shares of Class A Common Stock lapsed, resulting in the Reporting Person becoming fully vested in such shares. This resulted in no change in the number of shares beneficially owned by the Reporting Person. |
(3) | The Reporting Person is the direct beneficial owner of 20,996 shares of Class A Common Stock, which includes 3,400 restricted shares of Class A Common Stock issued pursuant to the Restricted Stock Award Plan. Additionally, he is the indirect beneficial owner of 56,000 shares of Class A Common Stock, of which 46,000 are held in the name of the Reporting Person's IRA Rollover Trust and 10,000 are owned by The Conway Foundation (the "Foundation"), of which the Reporting Person and his wife, Elaine Conway, are the sole directors. Mr. Conway disclaims beneficial ownership of any shares held by the Foundation. |
