Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On June 30, 2005, Dr. Jeffrey Stahl resigned as a member of the Board of Directors of Ramp Corporation (the “Company”). There were no disagreements between Dr. Stahl and the Company relating to any of the Company’s operations, policies or practices.
